LICENCE AGREEMENT

The copyright in this software and its associated documentation (if applicable electronic documentation) (together "the Software") is owned by University College London of Gower Street, London WC1E 7HN ("the Licensor"). By proceeding to use the Software you (an individual or legal entity) agree with the Licensor to be bound by the terms of this Agreement which will govern your use of the Software.

This software is provided to you under the following academic licensing terms, unless you have purchased a commercial use licence from UCL Business PLC (see: http://www.uclb-elicensing.com/image_publishing_software/gmap_image_cutter.html), in which case the terms of "UCLB Licence CGM-I" shall apply.

1Licence
1.1You are permitted to load, display, run and make necessary back-up copies of the Software on any computer which is under your control, provided it is used on only one computer at any one time and provided the use of the Software is for Non-Commercial Purpose. As used in this agreement, "Non-Commercial Purpose" means for the purpose of education or research in a non-commercial organisation only. "Non-Commercial Purpose" excludes, without limitation, any use of the Software for, as part of, or in any way in connection with a product (including software) or service which is sold, offered for sale, licensed, leased, loaned or rented. 1.2You are not permitted:
 
(a)to use or copy the Software other than as permitted by this Licence;
(b)to transfer your rights under this Agreement to another user;
(c)to load the Software on to a network server for the purposes of distribution to one or more other computer(s) on that network or to effect such distribution (such use requiring a separate licence);
(d)except as expressly permitted by this Agreement and save to the extent and in the circumstances expressly required to be permitted by law, to rent, lease, sub license, loan, copy, modify, adapt, merge, translate, reverse engineer, decompile, disassemble or create derivative works based on the whole or any part of the Software or its associated documentation or use, reproduce or deal in the Software or any part thereof in any way.
2Duration
 This Agreement is effective until you terminate it by destroying the Software and its documentation together with all copies. It will also terminate if you fail to abide by its terms. Upon termination you agree to destroy all copies of the Software and related documentation from your systems.
3Warranties and Liabilities
3.1You acknowledge that the Software is provided "as is" and that specific results and uninterrupted running cannot be expected. You therefore agree that the existence of errors in the Software shall not constitute a breach of this Licence. The Licensor shall not have any obligations to upgrade, "bug-fix", provide documentation, support or maintenance services, or provide any information, assistance or consultancy in relation to the Software.
3.2No warranty, condition, undertaking or term, express or implied, statutory or otherwise, is given or assumed by the Licensor, including without limitation as to non-infringement or the condition, performance, satisfactory quality or fitness for purpose of the Software and all such warranties, conditions, undertakings and terms are hereby excluded to the fullest extent permitted by law.
3.3You shall load and use the Software at your own risk and in no event will the Licensor be liable to you for any loss or damage of any kind (except personal injury or death resulting from the Licensor’s negligence) including lost profits or other consequential loss arising from your use of or inability to use the Software or from errors or deficiencies in it whether caused by negligence or otherwise except as expressly provided herein.
4Intellectual Property
 All copyright, trade marks and other intellectual property rights subsisting in or used in connection with the Software are and remain the sole property of the Licensor and you shall acquire no rights in any such material except as expressly provided in this Agreement.
5Law
 This Agreement shall be governed by and construed and interpreted in accordance with English law.
